Invoice Terms & Conditions (Service Agreement)
These terms apply to all coffee cart services and govern bookings, invoicing, and client responsibilities.
1. Services Provided
Flatlands Coffee Company will provide the agreed-upon mobile coffee cart services (“Services”) for the Client’s event. Services may include baristas, coffee drinks, equipment, ingredients, setup, and breakdown as detailed in the written quote or invoice.
2. Event Details & Changes
Event details (date, time, location, guest count) are outlined in the invoice and associated quote.
Any material changes must be communicated in writing at least 7 days before the event.
Flatlands Coffee Company may adjust pricing or apply surcharges if event details change materially.
3. Deposits & Booking Confirmation
A non-refundable deposit equal to 50% of total service cost is due upon invoice acceptance to secure the booking.
The event date and services are not secured until the deposit is received.
Final payment terms are set forth on the invoice or mutually agreed in writing.
4. Payment Terms
Final payment is due 3 days prior to the event unless an alternate payment schedule (e.g., Net 30) is agreed in writing.
Late payments incur a $50 late fee plus 1% interest per week on unpaid amounts until paid in full.
Services may be postponed or withheld until all outstanding balances are paid.
Client shall pay all reasonable collection costs permitted by law should Flatlands Coffee Company seek collection.
5. Cancellation Policy
5.1 Deposit Policy
The initial deposit is non-refundable upon cancellation by the Client.
5.2 Additional Amounts Beyond Deposit
30+ Days Before Service: Payments beyond the deposit will be refunded if cancellation occurs at least 30 days before the event.
Within 7 Days of Service: No refunds are issued on amounts paid beyond the deposit if cancellation occurs within 7 days of the event.
Credits: In all cases, amounts paid may, at Flatlands Coffee Company’s discretion, be credited toward a future event subject to availability.
5.3 Special-Order Items
Client remains responsible for special or custom-order costs that cannot be refunded to Flatlands Coffee Company.
6. Rescheduling
For single-day events, reschedule requests made at least 72 hours before the event will be accommodated when possible. Requests less than 72 hours prior may require full payment for the original date.
Multi-day events require at least 7 days’ notice to reschedule.
All rescheduling is subject to availability.
7. Venue, Setup & Client Responsibilities
Client must secure venue permissions and fees.
Flatlands Coffee Company must be granted access to the event space at least 1 hour prior to start time for setup and 1 hour after for breakdown.
Client must provide adequate power and water as required for services (e.g., dedicated circuits).
If venue limits or safety conditions hinder setup or service, no refund will be issued for reduced service time.
8. Electricity & Equipment
Client must provide reliable power access as specified in the invoice or setup requirements.
Flatlands Coffee Company is not responsible for service interruption or accidents occurring due to inadequate site conditions.
9. Insurance, Liability & Indemnification
Flatlands Coffee Company maintains general liability insurance for its services.
Client agrees to indemnify and hold Flatlands Coffee Company harmless for damage, theft, or loss of equipment caused by Client’s guests or venue.
To the fullest extent permitted by law, Flatlands Coffee Company’s liability for any claim related to this agreement is limited to the amount actually paid for the event services.
Client acknowledges that Flatlands Coffee Company is not responsible for claims arising from third-party actions or guest behavior.
10. Force Majeure
Flatlands Coffee Company is not liable for non-performance due to causes beyond its control including, but not limited to, severe weather, natural disaster, government action, power loss, or other acts of God.
11. Taxes & Gratuity
Client is responsible for all applicable local, state, and federal taxes on services and products.
Gratuity is not included unless expressly stated on the invoice; optional gratuity may be added at Client discretion.
12. Independent Contractor
Flatlands Coffee Company is an independent contractor and not an employee, partner, or agent of the Client.
13. Governing Law & Severability
This agreement is governed by the laws of Kansas or Missouri as applicable based on the event location.
If any provision is unenforceable, the remainder remains in effect.
14. Acceptance
Payment of the deposit or final payment constitutes the Client’s acceptance of and agreement to all Terms & Conditions herein.
